Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the vDOC.AI website and platform (the"Service") operated by vDOC.AI LLC ("us", "we", or "our").

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms.If you disagree with any part of the terms, then you may not access the Service.

2. Description of Service

vDOC.AI is a medical training simulation platform intended solely for educational purposes. It provides simulated medical scenarios for training and evaluation but is not intended for use in actual medical diagnosis or treatment.

3. Eligibility

You must be at least 18 years old to use this Service. By agreeing to these Terms, you represent and warrant that you are at least 18 years of age. The Service is not intended for use by minors under any circumstances.

4. Subscriptions and Billing

4.1. Subscription Plans: We offer a yearly subscription plan for access to the Service.

4.2. Free Trial: We offer a free trial period of 2 weeks or 5 case completions, whichever occurs first. Upon completion of the free trial, you will be automatically enrolled in the yearly subscription plan unless you cancel beforehand.

4.3. Automatic Renewal: Your subscription will automatically renew on your renewal date unless cancelled. We will notify you via email one month, two weeks, and three days before your renewal date.

4.4. Cancellation: You may cancel your subscription at any time through your account settings or by contacting our customer support. If you cancel within 72 hours of subscribing or before completing 3 cases (whichever occurs first), you may be eligible for a full refund.

4.5. Refunds: Except as provided in section 4.4, subscriptions are non-refundable for any unused portion of the service period.

4.6. Price Changes: We reserve the right to adjust pricing for our Service or any components thereof in any manner and at any time as we may determine in our sole and absolute discretion. Any price changes will be communicated to you in advance and will take effect at the next renewal date.

5. User Accounts

5.1. You must provide accurate, current, and complete information during the registration process and keep your account information up-to-date.

5.2. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password.

5.3. Sharing accounts is strictly prohibited. We monitor IP addresses and device usage patterns and reserve the right to terminate accounts that we reasonably believe are being shared.

6. Intellectual Property Rights

6.1. vDOC.AI retains all right, title, and interest in and to the Service, including all content, features, and functionality thereof. This includes, but is not limited to, all integrations, insights, interfaces, logos, code, network API calls, user-visible features, and our proprietary framework.

6.2. You are granted a limited, non-exclusive, non-transferable, and revocable license to use the Service for its intended purpose in accordance with these Terms.

6.3. You agree not to reproduce, duplicate, copy, sell, resell, orexploit any portion of the Service, use of the Service, or access to the Service without the express written permission by us.

6.4. Any violation of our intellectual property rights may result in legal action. Damages from such violations will be paid for by the violating party, and any legal proceedings will take place in Idaho, USA.

7. User Conduct

7.1. You agree not to use the Service: a) In any way that violates any applicable federal, state, local, or international law or regulation. b) To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter,""spam," or any other similar solicitation. c) To impersonate or attempt to impersonate vDOC.AI, a vDOC.AI employee, another user, or any other person or entity. d) To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm vDOC.AI or users of the Service or expose them to liability.

7.2. We reserve the right to terminate your account if we find that you are abusing our platform in a perverted way, forcing errors, making false social media posts, or violating our Privacy Policy or these Terms of Service.

8. Disclaimer of Warranties

8.1. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

8.2. vDOC.AI EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS,IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.

8.3. vDOC.AI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY ERRORS WILL BE CORRECTED.

9. Limitation of Liability

9.1. vDOC.AI IS A MEDICAL TRAINING SIMULATION PLATFORM INTENDED SOLELY FOR EDUCATIONAL PURPOSES. IT IS NOT INTENDED FOR USE IN ACTUAL MEDICAL DIAGNOSIS, TREATMENT, OR PATIENT CARE DECISIONS.

9.2. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL vDOC.AI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: a) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; b) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; c) ANY CONTENT OBTAINED FROM THE SERVICE; AND d)UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

9.3. IN NO EVENT SHALL vDOC.AI'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID vDOC.AI IN THE LAST SIX (6) MONTHS, OR, IF GREATER, ONE HUNDRED DOLLARS ($100).

9.4. THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN vDOC.AI AND YOU.

9.5. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

9.6. YOU EXPRESSLY UNDERSTAND AND AGREE THAT vDOC.AI SHALL NOT BE LIABLE FOR ANY MEDICAL OR HEALTHCARE DECISIONS MADE BASED ON THE CONTENT PROVIDED THROUGH THE SERVICE. THE SERVICE IS AN EDUCATIONAL TOOL AND SHOULD NOT BE RELIED UPON AS A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT.

10. Indemnification

You agree to defend, indemnify, and hold harmless vDOC.AI, its officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your use of the Service caused damage to a third party.

11. Referral Program

11.1. vDOC.AI offers a referral program as a privilege to eligible users. Participation in the program is subject to these terms and any additional terms specified on the referral form.

11.2. Users may refer others by providing an email address or phone number through the referral form. vDOC.AI will send a referral message on the user's behalf.

11.3. If a referred person purchases a subscription and maintains it beyond the 72-hour cancellation window or complete three cases in vDOC, the referring user will receive a digital Amazon gift card for the amount stated on the referral form at the time of referral.

11.4. The referral amount is subject to change at vDOC.AI's discretion. Changes will not affect referrals made prior to the change.

11.5. vDOC.AI is not responsible for theft or loss of digital gift cards. Users may request a resend of the gift card in email through customer support.

11.6. vDOC.AI reserves the right to modify, suspend, or terminate the referral program or any user's access to it at any time without notice.

11.7. Users are limited to 10 referrals per week. To exceed this limit, users must obtain permission by emailing cory@vdocai.com.

11.8. vDOC.AI has sole discretion in determining eligibility for the referral program and may revoke access at any time.

11.9. Abuse of the referral program, including but not limited to fraud, spamming, or any violation of these Terms, may result in termination of your account and forfeiture of any pending referral rewards.

12. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the Lawson of Idaho, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will notify you of any changes by posting the new Terms on this page and sending an email to the address associated with your account. Changes will be effective immediately upon posting.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
